Review the NDA before receiving the drawings

Make the permitted purpose fit quoting and production

An NDA limited to evaluating a purchase may not describe the later work of manufacturing, inspecting and sending requirements to an approved processor. Define the purpose precisely and amend it when the business scope changes. List recipients who need access, such as employees, professional advisers and specifically authorized outside processors, with appropriate confidentiality obligations. Do not assume that an NDA authorizes transfer of controlled technical data. Classification, recipient authorization and the transfer route still require their own review.

Check the provisions that change the bargain

Ask counsel to review definitions, exceptions for independently developed or public information, the agreement term, survival of duties, compelled disclosure, return and retention of records. A residuals clause can address information retained in memory; its effect on drawings, process knowledge and trade secrets needs specific review. Non-solicitation, noncompetition, exclusivity, ownership of improvements and unlimited liability are separate commercial issues that can arrive inside a document titled NDA. Flag them rather than treating the title as proof the agreement contains only confidentiality terms.

Use the mutual worksheet as a discussion document

The download leaves party names, purpose, disclosure period, survival period, governing law and authorized signatures for completion. It addresses use restrictions, need-to-know recipients, exclusions, protective handling, required disclosures and return or retained-record treatment. Neither party receives an intellectual-property license beyond the stated purpose or a commitment to place an order. Have counsel reconcile it with existing purchase terms and the jurisdiction involved before signing. Store the executed version where estimators can find the permitted scope before sending a drawing to another supplier.
